BLUE CAR STUDIO RENTAL & EQUIPMENT RENTAL AGREEMENT1. RESERVATION GUIDELINESKarasmattik Productions Ltd. (hereafter “BCS”) maintains the following policies with regards to reservations and bookings of BCS for all Rental Client(s) (hereafter Client) of facilities, equipment rentals and crew services provided through BCS.

Reservations, Holds & Booking: BCS applies a right of first refusal policy to all reservations being “held” for all Clients. Should a 2nd party Client contact BCS with a challenge to the primary reservation, where 2nd party is willing to confirm (“book”) the date(s) being reserved by primaryClient reservation, BCS will contact the primary Client and offer the option to “book” dates and commit to full payment, or release the reserved date(s) in question. Once a Client holding areservation confirms the booking of a date, no cancellation will be accepted and full payment of agreed upon studio fee, equipment rental fees and crew services quoted by BCS for Client reservation will apply.BCS honors all non-confirmed Client reservations up to 2 business days (m-f 8am to 6pm) in advance of booking without charge. If Client has not confirmed reservation within 2 business days in advance of booking, reservation will be considered automatically released by Client.2. INSURANCE REQUIREMENTSBCS requires all Clients to provide a valid and current certificate of insurance (COI) listing Karasmattik Productions Ltd. as an additionally insured certificate holder and loss payee inrespects to all claims arising out of operations of the Client, their employees, contractors and clients while using BCS facilities and equipment.The COI must include the following coverage as follows (sample attached):1. Commercial General Liability:a. Minimum $1,000,000.00 each occurrenceb. Damage to rented premises - $1,000,000.00 (each occurrence)c. Medical Expenses - $10,000.00 (any one person)d. Personal & ADV Injury - $1,000,000.00e. Minimum $2,000,000.00 general aggregatef. Products – Comp/Op aggregate – $2,000,000.00For Additional Equipment Rentals (not standard studio rentals):1. Other miscellaneous Equipment Rental insurance coverage equal to or exceeding replacementvalue of equipment being rented by Client (if applicable).2. Third party property damage – Please note deductibleKarasmattik Productions Ltd. to be listed on the Certificate of Insurance as follows:Certificate Holder / Additionally Insured:Karasmattik Productions Ltd.18 West 21st St Suite 202 New York, NY 100103. LiabilityAt no time will Karasmattik Productions Ltd. be held responsible for the actions of any persons not in their employ. It is understood the Client will be responsible for the actions of the Client, its client(s), crew, subcontractors and vendors while on the premises of BCS. The ‘insured’ agrees to defend, indemnify and hold harmless BCS against any and all claims, suitsor actions arising during the terms of the agreement for any personal injury, loss of life or damage to property, sustained by reason or as result of the organizations agents, employees or workmen carelessness or negligence: or in any way connected with the use, operation or possession of facilities and equipment rented from BCS. Client agrees to protect BCS from any judgments, decrees which may be entered thereon: and from and against all costs, attorney fees, expenses andliabilities incurred in the defense of any such claims, in the investigation thereof due to claims related to and occurring during Clients rental period. ‘Insured’ and its client are sorely responsible for any BCS facilities and equipment, all Client or third party owned equipment, computers, wardrobe, valuables and personal items left overnight in the studio or surrounding facility.4. QUOTES, PRICING & BILLINGBCS will provide Client with quote for anticipated services and equipment required.All services and equipment pricing reflects daily rates. Hourly rates are not available.Studio Rates are based on 12 consecutive hours of studio usage (“day rate”), such usage isrequired to take place within BCS standard operation hours of 7am to 7pm. Additional hours forBCS facility rental can be arranged but will incur overtime charges of 1.5x the equivalent hourly rate (day rate/12). Overtime charges apply for facility usage beginning earlier than 7am or ending later than 7pm.Equipment rental rates are based upon a 24-hour period, beginning 10am day of booking.Weekly equipment rental rates are four times the daily rate. Weekend equipment rentals are charged at 1.5x standard day rate, beginning Friday and returning by Monday 10:00am. Late fees or additional day rates may apply if return deadlines are missed.5. BUILDING ACCESS AND RELATED POLICIESThe building BCS is located in provides freight access via the entrance located at 20 west 21st Street with normal hours of operation between 7:00am to 7:00pm. All deliveries, other than hand carried small packages, must come through the freight entrance. No hand carts, dollies or large packages may be brought through the passenger elevators via main entrance at 18 West 21st street.6. PAYMENTUnless otherwise agreed: Payment in full is due at the time of the rental. We accept Visa, MC, Amex, Cash and Cash equivalents. Checks are accepted for clients with approved credit application. All first time clients must pay by Credit Card. Company checks may be accepted after a client’s firstrental.7. STUDIO RENTAL & EQUIPMENT DEPOSITUnless otherwise agreed: All BCS rentals require a 50% deposit of the agreed upon studio fee, equipment rental fees and crew services (as applicable) quoted by BCS at the time of booking.8. LOSS, THEFT or DAMAGEFixturesClient is fully responsible and liable for all BCS studio fixtures (ie, cook surfaces, refrigeration, small appliances and electrical distribution boxes).Photo / Computers / Lighting / Grip Equipment RentalsClient accepts full responsibility for all photographic, lighting and grip equipment rented from BCS during the rental period. The equipment must be returned in the same condition as when provided by BCS. All costs of repair or replacement of damaged equipment, including any period of time the equipment will not be available for rental by BCS, will be due and payable upon return of equipment to BCS.9. CLEANING CHARGES & PROPS / EQUIPMENT / SET MATERIALS / TRASH REMOVALClient agrees to leave BCS facilities and return all BCS supplied equipment in the same condition as such was received, clean and in good working order. Studio should be broom swept, cooking surfaces clean, service, cookware & small appliances cleaned and returned to shelves & drawers, garbage bagged and sealed. BCS reserves the right to apply additional cleaning charges to clients invoice for facilities and/or equipment returned in unacceptable condition after Clients use.Client is responsible for the removal of all props, wardrobe, equipment (brought by client) and setmaterials at the end of the Clients period. All trash and recycling must be properly bagged and/or tied and placed by freight elevator for removal by building.10. PERFORMANCE & KNOWLEDGE OF EQUIPMENTAll facilities and equipment provided by BCS is fully inspected by BCS before and after each rental.Client is responsible to inspect facilities and equipment at the time Client takes possession and should immediately report any concerns to BCS at beginning of rental period so they may be duly noted.The Client is expected to be familiar with the operation of all BCS equipment used by Client. Proper operation of all BCS equipment is the sole responsibility of the Client and Client bears all liability resulting from failure or improper operation of equipment. If any failure or damage to equipment or facility should occur during Clients possession of such, it isthe responsibility of the Client to notify BCS personnel immediately. BCS will provide best efforts to determine the cause of failure and/or damage, and as possible, aid Client to return equipment and facility to an operational state as quickly as possible.
